By accessing the ApexNucleus website, booking consultations, or engaging our services, you agree to these Terms & Conditions. If you do not agree, please do not use our website or services.

These terms apply to all clients, partners, and visitors. Separate written agreements (statements of work, proposals, or contracts) may supplement these terms for specific projects.

ApexNucleus provides digital product and growth services, including but not limited to:

• Website development and redesign
• SaaS and web application development
• Custom CRM solutions and business automation
• AI solutions, integrations, and workflow automation
• UI/UX design and product strategy
• Digital marketing, SEO, and growth systems
• Consulting and technical advisory services

Specific deliverables, timelines, and fees are defined in project proposals or statements of work agreed upon before work begins.

Each engagement begins with a defined scope documented in a proposal or contract. Scope includes deliverables, milestones, assumptions, and exclusions. Changes outside the agreed scope may require a change request and additional fees.

Client responsibilities

• Provide timely feedback, content, and approvals
• Supply accurate business requirements and brand assets
• Designate a primary point of contact for communication
• Ensure third-party accounts (hosting, domains, APIs) are accessible when needed
• Review deliverables within agreed review periods

Fees, payment schedules, and accepted methods are specified in your proposal or invoice. Unless otherwise agreed, projects may require an upfront deposit before work commences, with remaining balances due at defined milestones.

Refund policy

Deposits and milestone payments for work already performed are generally non-refundable. If ApexNucleus fails to deliver agreed scope without remedy after written notice, refund terms will be handled per the specific project agreement. Disputes should be raised promptly in writing.

Upon full payment, clients receive rights to final deliverables as defined in the project agreement. ApexNucleus retains the right to showcase completed work in our portfolio unless a mutual NDA restricts this.

Pre-existing tools, frameworks, libraries, and methodologies remain our property. Custom code and designs created for you are transferred per the agreed license terms in your contract.

Both parties agree to protect confidential information shared during an engagement. We will not disclose your proprietary business information to third parties except as required to deliver services or comply with law.

Formal NDAs are available upon request for sensitive projects.

Timelines are estimates based on scope and timely client collaboration. Delays caused by late feedback, scope changes, or third-party dependencies may extend delivery dates without liability to ApexNucleus.

To the maximum extent permitted by law, ApexNucleus shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from use of our website or services.

Our total liability for any claim related to a specific project shall not exceed the fees paid by you for that project in the twelve (12) months preceding the claim, unless otherwise required by law.

Either party may terminate an engagement per the termination clause in the project agreement. Upon termination, you are responsible for fees for work completed to date. We will deliver work product paid for up to the termination date where applicable.

These terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India, unless otherwise agreed in writing.
